Limited liability companies (LLCs) are required by Section 301(e) of the Limited Liability Company Law to file a Biennial Statement every two years with the New York Department of State. The Office of the Westchester County Clerk has been informed that LLCs have recently been receiving notices from a private company offering to file its Biennial Statement at a cost of $100. Don’t be persuaded by official-looking mailers. LLCs can file their own Biennial Statement with the New York State Secretary of State for a nominal filing fee of $9. The Statement may be mailed to the Secretary of State or filed online. Instructions on completion of the Statement and online filing are available at https://dos.ny.gov/biennial-statements-business-corporations-and-limited-liability-companies.  Also, LLCs can register to receive Biennial Statement notices by providing an email address to the Department of State’s Email Address Submission/Update Service at https://apps.dos.ny.gov/eBiennialWeb/emailUpdateHome.
